Governing Law: England and Wales
1. Acceptance of Terms
By accessing or using the SentraSales platform ("the Service"), you ("the Customer") agree to be bound by these Terms of Service. If you are accepting on behalf of a company, you represent you have authority to bind that entity. These Terms constitute the entire agreement and supersede all prior agreements.
2. Subscription Plans & Billing

Usage-Based Billing & Overage Charges
By subscribing, you explicitly agree that:
- The applicable monthly base fee will be charged at the start of each billing period.
- Call minutes are tracked using the sentra_talk_time usage meter. Minutes are consumed at one unit per minute of active call time, rounded up to the nearest minute.
- If usage exceeds your plan's included minutes, overage charges are automatically applied at £0.10 per additional minute (ex. VAT), billed at the end of the billing period.
- You will receive an in-app notification at 80% and 100% of included minutes. It is your responsibility to monitor usage and upgrade if required.
- Overage charges are non-refundable once incurred.
Payment Terms: Subscriptions are billed monthly in advance via Stripe. All prices are exclusive of VAT unless stated. You authorise SentraSales Ltd to charge your payment method on a recurring basis until you cancel.
Cancellation: You may cancel at any time via Billing settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods.
3. Call Recording — Customer Responsibility & Consent Obligations
⚠️ You are solely responsible for ensuring your use of call recording complies with all applicable laws. Non-compliance may constitute a criminal offence.
United Kingdom: Under the Investigatory Powers Act 2016 and the Telecommunications (Lawful Business Practice) Regulations 2000, businesses may record calls without notifying the other party for quality monitoring and training purposes ("Single Party Consent"). However, best practice — which we strongly recommend — is to notify all parties at the start of a recorded call.
European Union: In most EU member states, recording requires the consent of all parties ("All Party Consent") under national laws implementing the ePrivacy Directive. If calls involve parties in EU member states, you must obtain explicit consent before recording commences.
Customer Responsibility: SentraSales Ltd provides the technical capability for call recording but assumes no responsibility for your compliance. By enabling call recording, you confirm that you have assessed your legal obligations, implemented appropriate notification procedures, and will indemnify SentraSales Ltd from any claims arising from your failure to comply.
4. Acceptable Use
You agree not to use the Service to:
- Record calls without lawful authority or in violation of applicable law
- Process sensitive personal data without appropriate safeguards and legal basis
- Conduct unsolicited communications in violation of PECR, GDPR, or equivalent regulations
- Reverse engineer or attempt to extract source code of the Service
- Resell or sublicense access without written authorisation
- Use the Service in any way that could damage, disable, or impair the platform
5. AI Features — Limitations & Disclaimer
AI-generated features (call scoring, deal scoring, follow-up suggestions, call analysis) are for informational purposes only and are intended to assist, not replace, human decision-making. SentraSales Ltd does not warrant that AI outputs are accurate, complete, or suitable for any particular purpose. We accept no liability for commercial decisions made in reliance on AI-generated outputs.
6. Intellectual Property
SentraSales Ltd retains all intellectual property rights in the Service. You retain all rights to your data. You grant SentraSales Ltd a limited, non-exclusive licence to process your data solely to provide the Service. We do not sell, share, or use your data beyond service delivery and platform improvement (in aggregate, anonymised form only).
7. Limitation of Liability
SentraSales Ltd's total aggregate liability shall not exceed the total fees paid by you in the 12 months preceding the relevant claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or loss of goodwill.
8. Governing Law
These Terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
9. Amendments
We may update these Terms with at least 30 days' notice of material changes via email or in-app notification. Continued use after the effective date constitutes acceptance.
